Job Summary:
We are seeking a Director of Commercial Contracts to join the Brightmark Legal team. Under direction of the VP, Deputy General Counsel, the Director of Commercial Contracts will work directly with the commercial teams and third-party partners to draft and negotiate commercial contracts, prepare contract abstracts, follow up with business stakeholders, and manage end to end commercial contract negotiations. Responsible for the contracts management function within the Legal Department, including organization and assembly for the Legal, Business Development, Finance and Engineering & Operations teams, providing transaction support for Brightmark’s projects, obtaining, and distributing information, and managing the Legal Department’s signature approval coordination, document management and general legal administrative processes. The position is located at Brightmark’s headquarters in San Francisco, though hybrid and remote candidates will be considered.
Responsibilities:
- Provide strategic counsel, oversight, and sophisticated judgment with regard to legal issues facing the Company, advising Brightmark on the legal and regulatory risks of possible business decisions.
- Responsible for general contracts management for the Development, Construction/Engineering, Center of Excellence, Operations and Asset Management teams, including contract drafting, negotiation, red lining, and general legal administration for the RNG and Plastics Divisions
- Lead for commercial negotiations, including MSAs, consulting agreements, contractor agreements, equipment purchase agreements, and any other general commercial terms and conditions.
- Maintain a high level of awareness regarding project contractual risks by working in collaboration with the Project Managers (PMs) and the Procurement Manager/Specialist to prepare a risk matrix informing the PMs of potential claims, potential elevated costs or schedule risk, and develop a mitigation strategy with the PMs to insure minimization of cost growth and compliance with project schedule.
- Track contractual obligations; coordinate related notices, change orders, and/or amendments to ensure compliance with commercial terms and conditions.
- In coordination with the Procurement Manager/Specialist, identify opportunities for risk mitigation by reviewing for ambiguities, omissions, or discrepancies in the contract documents and develop associated mitigation plan.
- Support the PMs to define and confirm that performance obligations in the contract are met, exercising your independent judgement.
- Manage the workflow and coordinate execution of various agreements, contracts and notices.
- Prepare, review, and amend Non-Disclosure Agreements and manage the NDA Request Process
- Administer the Legal Request Process through the Contracts Lifecycle Management (CLM) system.
- Maintain and manage the Company’s records retention process.
- Assist with maintaining the Legal Department’s Standard Forms library.
- Serve as a Legal Department ambassador by interacting with and providing support to all departments within Brightmark.
- Assist with special projects as requested, including acquisitions and capital raise efforts .
- Adapt to new tasks and responsibilities as the business grows and changes.
Success Criteria/Knowledge & Skills/Abilities:
- Experience drafting and negotiating commercial contracts in the power, renewable energy, natural gas or utility space.

Experience & Professional Qualifications:
- Bachelor’s degree or equivalent experience; J.D.’s from a U.S. ABA accredited law school considered.
- Six to eight years of contracts management or related experience required; experience in a similar industry function, preferably in renewables, a plus.
- Experience drafting/negotiating commercial contracts in the power, renewable energy, natural gas or utility space.
- Previous in-house legal or law firm experience required.
- Fast-paced growth, emerging company experience.
Salary:
- $123,000.00 – $190,000.00
