Job Summary:

We are seeking a Manager of Commercial Contracts to join the Brightmark Legal team. Under direction of the Senior Director of Commercial Contracts, the Manager of Commercial Contracts will work directly with the commercial teams and third-party partners to draft and negotiate nondisclosure agreements (NDAs), commercial contracts, prepare contract abstracts, follow up with business stakeholders, and manage end to end commercial contract negotiations. Responsible for partnering with the Senior Director of Commercial Contracts to manage the contracts management function within the Legal Department, including organization and assembly for the Legal, Business Development, Finance and Engineering & Operations teams, providing transaction support for Brightmark’s projects, obtaining and distributing information, and managing the Legal Department’s signature approval coordination, document management and general legal administrative processes. The position can be located at Brightmark’s headquarters in San Francisco, with hybrid and remote candidates considered.

Responsibilities:

  • Responsible for assisting with general nondisclosure and contracts management for the Development, Construction/Engineering, Center of Excellence, Operations and Asset Management teams, including drafting, negotiation, red lining, and general legal administration for the RNG/Organics and Plastics Divisions
  • Assist with commercial negotiations, including NDAs, MSAs, consulting agreements, contractor agreements, equipment purchase agreements, and any other general commercial terms and conditions
  • Track contractual obligations; coordinate related notices, change orders, and/or amendments to ensure compliance with commercial terms and conditions
  • In coordination with the Finance, Procurement, and Risk Management teams, identify opportunities for risk mitigation by reviewing for ambiguities, omissions, or discrepancies in the contract documents and develop associated mitigation plan
  • Support the Project Managers (PMs) to define and confirm that performance obligations in the contract are met, exercising independent judgement
  • Manage the workflow and coordinate execution of various agreements, contracts, and notices
  • Prepare, review, and amend NDAs and manage the NDA Request Process
  • Administer the Legal Request Process through the Contracts Lifecycle Management (CLM) system
  • Maintain and manage the Company’s records retention process
  • Assist with maintaining the Legal Department’s Standard Forms library
  • Serve as a Legal Department ambassador by interacting with and providing support to all departments within Brightmark
  • Assist with special projects as requested, including acquisitions and capital raise efforts
  • Adapt to new tasks and responsibilities as the business grows and changes

Experience & Professional Qualifications:

  • Bachelor’s degree or equivalent experience; J.D.’s from a U.S. ABA accredited law school a plus
  • Five years or more of contracts management or related experience required; experience in a similar industry function, preferably in renewables, a plus
  • Experience drafting/negotiating NDAs and commercial contracts in the power, renewable energy, natural gas or utility space
  • Previous in-house legal or law firm experience preferred
  • Fast-paced growth, emerging company experience

Salary:

  • $140,000-$150,000 per year
